1. Acceptance of Terms

By accessing or using the website www.koffexaccounting.com (the “Site”), you represent that you are at least 18 years of age and agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, please do not use the Site. Your continued use of the Site following any changes to these Terms constitutes your acceptance of those changes. Updated Terms take effect on the Last Updated date shown at the top of this page.

By using this Site and providing your contact information or submitting a consultation request, you consent to receive electronic communications from Koffex Accounting, including emails, notices, and disclosures. You agree that electronic communications satisfy any legal requirement that such communications be in writing (E-SIGN Act, 15 U.S.C. § 7001 et seq.). You may withdraw your consent to receive electronic communications at any time by contacting us at contact@koffexaccounting.com. Withdrawal of consent does not affect the validity of any electronic communications sent prior to withdrawal.

2. No Client Relationship

Submitting a contact form, consultation request, or any other inquiry through this Site does not create an accountant-client, tax professional-client, or any other professional relationship between you and Koffex Accounting. An engagement begins only upon execution of a signed written engagement letter by an authorized representative of Koffex Accounting.

Please do not transmit Social Security numbers, financial account numbers, tax identification numbers, or other sensitive personal or financial information through the contact form on this Site. Use the secure Client Portal for the transmission of sensitive documents and information.

3. Use of the Website

This Site is intended for informational purposes and to allow visitors to learn about Koffex Accounting’s services and request consultations. You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of others.

You may not use the Site to:

• Engage in any unlawful, harmful, or fraudulent activity

The availability and outcome of any resolution option depends entirely on your individual tax history, financial circumstances, IRS determinations, and applicable law.

Koffex Accounting makes no guarantee, representation, or warranty that:

  • Any Offer in Compromise application will be accepted by the IRS
  • Any penalty abatement request will be approved
  • Any particular resolution option will be available or applicable to your situation
  • Any specific reduction in tax liability, penalties, or interest will be achieved

Fees for IRS tax resolution services are disclosed prior to engagement. Koffex Accounting does not collect advance fees for IRS resolution services through telemarketing or unsolicited contact.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, KOFFEX ACCOUNTING AND ITS OFFICERS, EMPLOYEES, AGENTS, AND REPRESENTATIVES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF, OR INABILITY TO USE, THE SITE OR ITS CONTENT, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF KOFFEX ACCOUNTING HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL KOFFEX ACCOUNTING’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO YOUR USE OF THIS SITE EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO KOFFEX ACCOUNTING IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

9. Indemnification

You agree to defend, indemnify, and hold harmless Koffex Accounting and its officers, directors, employees, agents, and representatives from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of or access to the Site; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any content you submit, post, or transmit through the Site.

10. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site that cannot be resolved informally shall be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, except that either party may bring an individual claim in small claims court if the claim qualifies.
The arbitration shall be conducted in Will County, Illinois, or, if you prefer, by telephone or videoconference. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

CLASS ACTION WAIVER: YOU AND KOFFEX ACCOUNTING AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.

11. Intellectual Property

All content on this Site, including but not limited to text, copy, graphics, logos, images, icons, and the overall design, is the property of Koffex Accounting and is protected by applicable copyright, trademark, and other intellectual property laws.

To the extent any dispute is not subject to arbitration under Section 10, the parties consent to the exclusive jurisdiction of the state and federal courts located in Illinois.

Koffex Accounting reserves the right to update or modify these Terms at any time. For material changes, we will update the “Last Updated” date at the top of this page. Material changes take effect upon posting. Your continued use of the Site after changes are posted constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.

17. General Provisions

Severability. If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

Koffex Accounting shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, government action, war, terrorism, labor disputes, or internet service disruptions.

Survival. Sections 4, 5, 7, 8, 9, 10, 11, 15, and 17 shall survive any termination or expiration of these Terms.

Notices. All notices to Koffex Accounting under these Terms must be sent in writing to contact@koffexaccounting.com or to 16151 Weber Rd. Ste 204, Crest Hill, IL 60403. Electronic notices sent by Koffex Accounting to the email address you provide constitute valid notice under these Terms.

Headings. Section headings in these Terms are for convenience only and have no legal or contractual effect.
